Overview

We have significant experience providing third-party legal opinions on behalf of Delaware entities.  

Lenders, investors, and borrowers that are involved in securitized or portfolio financing transactions across the country regularly call upon us to review and analyze business organization and commercial transaction documents.  

These parties frequently seek our opinion on application of and compliance with Delaware law in connection with various types of entities that are formed in Delaware, including limited partnerships, limited liability companies, Delaware statutory trusts and corporations, in such transactions. Among other areas, we frequently opine on an entity’s formation and standing, authority to enter into a transaction, authority to file a bankruptcy, Delaware UCC, bankruptcy remoteness and non-dissolution.  

In addition, our attorneys render reasoned opinions and provide written and oral advice to our clients on various federal bankruptcy matters. We provide well-reasoned legal opinion involving both Delaware and non-Delaware entities and properties, including substantive consolidation and other bankruptcy-related issues.

We also render customized legal opinions in a wide variety of corporate and alternative entity contexts, including (by way of example) enforceability opinions on guarantees and other types of agreements, opinions, regarding due authorization and valid issuance of shares, and opinions to foreign governing bodies regarding the legal effect of conversions and re-domestications.
