Hank Gallagher Presents CLE on Developments in Delaware Corporate Law
Connolly Gallagher partner Hank Gallagher served as a panelist/presenter yesterday at the continuing legal education program “Delaware Law Developments 2015: What Every Business Lawyer Needs to Know,” sponsored by the Practicing Law Institute and held at its professional education center in New York City. He discussed pending legislative amendments to the Delaware General Corporation Law, and other recently enacted legislation of interest to business lawyers. His presentation focused primarily on pending Delaware legislation that would govern the use of forum selection provisions in corporate charters and bylaws; an amendment that would forbid corporate bylaws or charter provisions “shifting” the corporation’s legal fees and costs onto stockholders who unsuccessfully prosecute a class action, derivative litigation, or any other internal corporate litigation; and the Delaware Rapid Arbitration Act, which became effective in May 2015. Today’s program also featured presentations by Delaware Supreme Court Justice Karen Valihura, Delaware Chancellor Andre Bouchard, several former members of the Delaware judiciary, and other leading corporate law practitioners and litigators from Delaware and New York.
